1) Definitions

• “Platform” means the AUXON.BID website, mobile experiences, and related interfaces.
• “Services” means all features offered on the Platform, including auctions, drawings, AMOE (free entries), wallets, vouchers, payments, and support.
• “User”, “you”, “your” means any person or entity accessing or using the Services.
• “We”, “us”, “our” means AUXON.BID and any authorised operators or affiliates.
• “Wallet” means your on-platform balance showing available and locked amounts.
• “Reserve” means the minimum aggregate paid bids required for an auction to draw a winner.

2) Acceptance of Terms

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and any referenced policies. If you do not agree, you must not use AUXON.BID.

3) Changes to Services & Terms

• We may update, modify, suspend, or discontinue any part of the Services at any time.
• We may revise these Terms from time to time. The “Last updated” date indicates the latest version.
• Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

4) Eligibility

• You must be at least 18 years old and legally able to enter into a binding contract.
• You are responsible for ensuring that your use of AUXON.BID is lawful in your country, state, or region.
• You must not use the Services if you are subject to any applicable sanctions or restrictions, or if local law prohibits participation in sweepstakes, prize draws, or similar promotions.

5) Accounts, KYC & AML

• You must provide accurate and complete registration details and keep your login credentials secure.
• You are responsible for all activity that occurs under your account, whether or not authorised by you.
• We may require identity verification (KYC) and apply anti–money-laundering (AML) and sanctions screening checks.
• We may request additional documents at any time to confirm your identity, address, source of funds, or eligibility.
• We may freeze or close accounts, or restrict access to funds, if we suspect fraud, abusive behaviour, legal risk, or policy violations, or if required by law or competent authorities.

6) Wallet, Funds & Fees

• Your AUXON.BID wallet may show available and locked balances. Bids can lock funds until an auction is resolved, cancelled, or otherwise settled under the stated rules.
• Deposits and withdrawals may involve blockchain network fees, service fees, or third-party processing fees. Where possible, such fees will be displayed or reasonably disclosed.
• We are not responsible for losses caused by incorrect wallet addresses or recipient details entered by you.
• Some balances may be promotional, restricted, or subject to specific usage rules or expiry conditions; such terms will be displayed when applicable.
• Off-platform transfers (for example, to external blockchain addresses) are generally irreversible; you accept full responsibility for such transactions.

7) Auctions & Bidding

• Each bid creates a unique entry for the relevant auction as described on its auction page.
• Bidding may lock the bid amount until the auction ends, is cancelled, or is otherwise settled under the stated rules.
• We may pause, extend, void, or relist auctions for technical, legal, operational, or fairness reasons, including system errors, suspected fraud, or force majeure events.
• Detailed rules for each auction (reserve, pricing model, deadlines, prize description, and any special conditions) are part of these Terms and must be reviewed before bidding.
• Unless expressly stated otherwise, AUXON.BID is not a traditional gambling operator; auctions are operated as sweepstake-style promotions with clear rules and, where applicable, free entry options.

8) AMOE (Free Entry)

• Eligible auctions may include one Alternate Method of Entry (AMOE) free bid per eligible user, as described on the auction page.
• You may use only one free entry on any open auction at a time. After using your free bid on an open auction, you cannot use another free entry on other open auctions until that auction is fully closed.
• You may still place paid bids on other auctions at any time, subject to the applicable auction rules.
• Attempts to bypass AMOE limits (for example, using multiple accounts, fake identities, or automated tools) may result in cancellation of entries, forfeiture of prizes, account suspension, and other actions we deem appropriate.

9) RNG & On-Chain Verification (Commit–Reveal)

• Where a random winner is required and the reserve is met, the winner is selected using a verifiable random process (commit–reveal) as described on the Platform.
• We publish a cryptographic hash commitment before the reveal and later disclose the underlying inputs (such as a salt and calculation details) so that users can independently verify the result.
• For auctions or draws that are registered on the blockchain, you may verify that a bid code was recorded by using an appropriate block explorer, checking the published contract address, and inspecting the relevant transactions or events.

10) Refunds, Reserve & Settlement

• If the reserve is not met, locked funds are generally released and no winner is selected, unless the auction page clearly specifies a different fallback rule.
• If the reserve is met, a winner is drawn in accordance with the published rules and non-winning funds are released according to those rules.
• Refunds are typically credited back to your AUXON.BID wallet. Off-platform refunds (for example, to an external wallet) may require additional checks and may take longer.
• We may reverse or adjust settlements if a material error, fraud, or legal issue is later discovered, including obvious pricing mistakes or system malfunctions.

11) Taxes

You are solely responsible for any taxes, duties, or levies arising from your participation in auctions, receipt of prizes, or other use of AUXON.BID, including income taxes on winnings where applicable. We may withhold or report amounts where required by law.

12) Prohibited Conduct

• Creating fake, duplicate, or shared accounts, colluding with other users, or manipulating outcomes.
• Using bots, scripts, or automated tools to interact with the Platform beyond what is expressly allowed.
• Attempting to interfere with, disrupt, or reverse-engineer any aspect of the Services or security controls.
• Posting or transmitting unlawful, harmful, defamatory, fraudulent, or infringing content.
• Using the Services for money laundering, terrorist financing, fraud, or any other illegal purpose.

13) Intellectual Property & License

Design, logos, software, text, graphics, and other content on AUXON.BID are protected by intellectual property laws. We grant you a limited, non-exclusive, revocable, non-transferable license to access and use the Services for their intended purpose and in accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative works from the Platform or its content without our prior written consent.

14) User Content

You retain ownership of content you submit to the Platform (such as reviews, comments, or uploaded media), but you grant AUXON.BID a worldwide, non-exclusive, royalty-free, sublicensable license to host, use, reproduce, modify, adapt, publish, translate, and display such content as necessary to operate, improve, and promote the Services. You confirm that you have all necessary rights to grant this license and that your content does not infringe any third-party rights.

15) Privacy

Your data is processed according to our Privacy Policy, which describes how we handle personal information, including KYC/AML data, fraud prevention, legal compliance, and service improvement. By using the Services, you consent to such processing and to any cross-border data transfers as required to provide the Services.

16) Security

• We apply reasonable administrative, technical, and organisational measures to protect the Platform, but no system is completely risk-free.
• You are responsible for maintaining the security of your devices, network access, and login credentials.
• Any actual or suspected vulnerabilities or unauthorised access should be promptly reported to us and must not be exploited.

17) Third-Party Services & Blockchain Networks

• The Services may rely on third-party providers (for example, payment processors, blockchain networks, wallet services, couriers, or data providers). We do not control and are not responsible for their performance, security, or availability.
• Blockchain transactions are generally final and irreversible. Network congestion, forks, bugs, or other events may delay or prevent confirmation of transactions.
• Any references to specific networks, tokens, or contracts are provided “as is” and do not constitute an endorsement or investment recommendation.

18) Risk Disclosure

• Participating in auctions, sweepstakes, and prize draws involves risk, including the possibility of not winning any prize or recovering any portion of your bids.
• Holding value in digital assets or on third-party networks involves risks such as volatility, technological failures, regulatory changes, or loss of access to private keys or accounts.
• Nothing on AUXON.BID constitutes financial, legal, or tax advice. You should seek independent professional advice where appropriate.

19) Disclaimers

The Services are provided on an “as is” and “as available” basis, without any warranties of any kind, whether express, implied, or statutory, including any warranties of merchantability, fitness for a particular purpose, title, and non-infringement, or any warranty that the Services will be uninterrupted, error-free, secure, or free of harmful components.

20) Limitation of Liability

To the maximum extent permitted by law, AUXON.BID and its affiliates, officers, employees, and agents are not liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or relating to your use of the Services, even if advised of the possibility of such damages. To the extent any liability exists that cannot be excluded, our aggregate liability to you for all claims relating to the Services will be limited to the amount you have paid to AUXON.BID in the twelve (12) months preceding the event giving rise to the claim, or such minimum amount as required by applicable law.

21) Indemnity

You agree to indemnify and hold harmless AUXON.BID and its affiliates, officers, employees, and agents from and against any claims, demands, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Services; (b) your breach of these Terms or of any applicable law; or (c) your violation of any third-party rights.

22) Suspension & Termination

• We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, present a legal or regulatory risk, or engage in suspicious or fraudulent activity.
• Certain provisions of these Terms (including those relating to intellectual property, limitation of liability, indemnity, and governing law) will survive termination.

23) Shipping & Handling

• Delivery times are estimates only and may be affected by couriers, customs, local holidays, or other external factors outside our control.
• You must provide a complete and accurate delivery address and contact details. We are not responsible for failed deliveries due to incorrect or incomplete information.
• If an item becomes unavailable after settlement, we will either refund the full related amount to your AUXON.BID wallet or offer an item of equal value, as reasonably determined by us.
• Import duties, customs charges, brokerage fees, or local taxes (if any) are your responsibility unless expressly stated otherwise.

24) Third-Party Suppliers & Brands

• Not all items are in AUXON.BID’s own stock; some are sourced from independent suppliers, distributors, or manufacturers.
• For certain auctions, the item is ordered only after the auction ends and a winner is confirmed.
• If a supplier cannot deliver as expected, we may provide an equivalent replacement item or refund the relevant value to your AUXON.BID wallet.
• Product names, logos, and brands are trademarks of their respective owners. Use on AUXON.BID does not imply any affiliation, endorsement, or sponsorship, unless explicitly stated.

25) Governing Law & Dispute Resolution

• These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of Lebanon.
• You agree to the exclusive jurisdiction of the courts of Beirut, Lebanon, for the resolution of any disputes, except where applicable law provides you with mandatory rights to bring claims in another forum.

26) Miscellaneous

• Entire agreement: These Terms, together with any referenced policies and auction-specific rules, constitute the entire agreement between you and AUXON.BID regarding the Services.
• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
• No waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations without your prior consent, provided this does not materially reduce your rights.
• Language: These Terms are drafted in English. If they are translated into other languages, the English version will prevail to the extent of any inconsistency.

27) User Auction Submissions & Seller Responsibility

• AUXON.BID provides a technology platform that allows users to submit items for auction as “auction owners” or “sellers”. Unless explicitly stated on a specific auction page, AUXON.BID is not the owner, manufacturer, merchant of record, or seller of user-submitted items and is not a party to the underlying sale or transfer between the auction owner and the winning bidder.
• By submitting an item for auction, the auction owner represents and warrants that:
  • they have full legal right, title, and authority to offer the item and to transfer it to the winning bidder free from undisclosed liens, claims, or security interests;
  • the item is genuine, lawful, and not stolen, counterfeit, hazardous, or otherwise prohibited under applicable laws or these Terms;
  • all descriptions, photos, specifications, and statements about the item (including condition, authenticity, model, mileage, usage, defects, and included accessories) are true, accurate, and not misleading;
  • they will comply with all applicable consumer protection, distance selling, advertising, export/import, sanctions, tax, and other legal requirements related to the auction, delivery, and use of the item.
• All user-submitted auctions on AUXON.BID must be structured and operated in a manner that remains AMOE-compliant, regardless of the stated purpose of the auction (including without limitation charity events, special events, or personal gain). The auction owner understands and agrees that AMOE (free) entries are legally binding entries to the promotion under the same official rules as paid bids and must be treated with equal weight in the draw, prize allocation, and any related winner selection process.
• The auction owner is solely responsible for fulfilling the auction, including contacting the winning bidder, arranging logistics, shipping or handover, providing any promised documents or accessories, and honouring any warranties or after-sales obligations that may apply. AUXON.BID does not control and is not responsible for the quality, condition, legality, authenticity, safety, or fitness for purpose of any user-submitted item.
• Bidders understand and agree that their primary contractual relationship for any user-submitted auction is with the auction owner, not AUXON.BID. You place bids and participate in user-submitted auctions at your own risk and are responsible for carrying out any appropriate checks or due diligence on the item and seller before and after bidding.
• To the maximum extent permitted by law, AUXON.BID is not responsible and assumes no liability for:
  • any failure, delay, or refusal by an auction owner to deliver the item or to complete the transaction;
  • any defect, damage, discrepancy, or misrepresentation in relation to the item (including undisclosed faults, incorrect mileage or usage, or differences between the listing and the physical item);
  • any loss, damage, cost, or expense incurred by bidders or auction owners arising from shipping, insurance, customs, storage, registration, licensing, or local regulatory requirements;
  • any disputes between users (including without limitation between sellers, bidders, winners, or third parties).
  AUXON.BID may, but is not obliged to, assist with communication or attempt to facilitate a resolution on a goodwill basis; such assistance does not create any admission of responsibility or any obligation to provide compensation.
• Where an auction is flagged as supporting a charity, special event, or other cause, the auction owner is solely responsible for the accuracy and legitimacy of the information they provide about that charity or event. AUXON.BID’s role is limited to processing designated proceeds according to the payout settings and internal review procedures. AUXON.BID is not a trustee, fiduciary, or charity operator and is not responsible if a charity or event is later found to be inactive, ineligible, or non-compliant. We may decline, delay, or redirect a payout (including returning funds to users’ wallets) if we cannot reasonably verify the receiving party or if legal, compliance, or risk considerations require it.
• By using the user auction submission features, auction owners and bidders agree to release AUXON.BID and its affiliates, officers, employees, and agents from any and all claims, demands, and damages (actual and consequential) arising out of or in any way related to user-submitted auctions, items, or interactions between users, except to the limited extent that such liability cannot be excluded under applicable law.
